(a)	Software. You may install and use NeurEco on at most three Computers provided that these Computers belong to you and that NeurEco is used only on one Computer at a time.
(b)	NeurEco is subject to an annual license fee or annual maintenance fee dependent on license type.
(c)	Reservation of Rights. All rights not expressly granted are reserved by ADAGOS SAS.

1.2	LIMITATIONS
(a) You may not rent, lease or share NeurEco with another user. Transfer of a license to another user is allowed once for each licensed product. A license transfer fee must be paid by the current license holder before the transfer takes place. For this purpose, please contact sales@adagos.com.
(b) Any distribution of generated NeurEco models outside of your company requires you to inform ADAGOS SAS. Please email sales@adagos.com.
(c) It is strictly prohibited to install NeurEco to a server without a prior approval from ADAGOS SAS.
(d) Limitations on Reverse Engineering, Decompilation, Disassembly and Modification. You may not reverse engineer, decompile, disassemble or modify NeurEco.
(e) Separation of Components. NeurEco is licensed as a single product. Its component parts may not be separated.
(f) Termination. Without prejudice to any other rights, ADAGOS SAS may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of NeurEco and all of its component parts.

1.3	COPYRIGHT
NeurEco is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. All title and intellectual property rights related to NeurEco are owned by its authors. Unauthorized copying of NeurEco, in whole or in part, is expressly forbidden. All title and intellectual property rights in and to the content which may be accessed through use of NeurEco is the property of the respective content owner. This Agreement grants you no rights to use such content. You may print one copy of the documentation provided in NeurEco.

Except for the license rights granted above, ADAGOS SAS retains all right title and interest for NeurEco including all intellectual property rights therein.

1.6 TRIAL LICENSE
A trial license may be used exclusively for the purpose of evaluating NeurEco and may not be used to perform or deliver services, whether internal or to third parties. Models generated using a trial license are likewise restricted to evaluation purposes and may not be used, distributed, or relied upon for any commercial or operational purpose.

2	WARRANTIES
NeurEco is licensed without any warranty. It is provided on an “as is” basis.

3	LIMITATION OF LIABILITY
You agree that in no event will ADAGOS SAS be liable for any kind of damages, material, immaterial or corporal, that arise as a result of the malfunctioning or misuse of NeurEco. You assume full responsibility for all possible consequences of your use of NeurEco.

4	DISPUTE
This License Agreement is governed by the laws in force in France, and, in respect of any dispute which may arise hereunder, you consent to the jurisdiction of the courts sitting in Toulouse, France.

5	THIRD PARTY COMPONENTS
NeurEco includes third-party software components. They are listed, with their copyright notices and licenses, in the file THIRD-PARTY-NOTICES.txt installed with NeurEco, and their license texts are in the licenses folder next to that file: in the installation folder on Windows, in /opt/neureco/share/doc/adagos on Linux and in the NeurEco folder of the Python package. Each exported FMU lists the third-party components it contains in its documentation/licenses folder. The notices below are a summary; THIRD-PARTY-NOTICES.txt is the complete list. The open-source components are licensed to you under their own licenses and not under this License Agreement, and nothing in this License Agreement, including sections 1.2, 1.3, 1.4 and 1.5, restricts the rights that those licenses grant you. In particular, for a component licensed under the GNU Lesser General Public License, such as the Qt libraries used by the NeurEco graphical interface, you may modify the component, relink NeurEco with a modified version of it, for example by replacing the Qt libraries supplied with NeurEco, and reverse engineer NeurEco to the extent needed to debug such modifications. THIRD-PARTY-NOTICES.txt explains how to obtain the source code of the components licensed under the GNU General Public License, the GNU Lesser General Public License or the Mozilla Public License.

6	THIRD PARTY DATA
Some example projects installed with NeurEco (folder testsuite, or share/adagos/.neurecotestsuite on Linux) contain a file DATA_LICENSE.txt. The data files that this file identifies were created by third parties; DATA_LICENSE.txt gives their source and, as stated by the source, their authors, their license and their terms of use. These data are not part of NeurEco and ADAGOS SAS claims no ownership of them. They are not licensed to you under this License Agreement but under the license and terms of use given in DATA_LICENSE.txt, and the terms of this License Agreement, including sections 1.2, 1.3, 1.4 and 1.5, do not restrict the rights that license grants you.
